Aaron M. Gumbinger is a graduate of the University of California at Santa Barbara (B.A. with honors, Political Science, 1986) and of the University of Pacific McGeorge School of Law (J.D. 1989). Mr. Gumbinger’s practice emphasizes corporate and business transactional matters, including: formation of business entities including corporations, partnerships, and limited liability companies; transactional work including business mergers, acquisitions and conversions, drafting purchase and sale agreements, buy-sell agreements, stock purchase agreements, warrants, incentive stock option plans and stock option award agreements and maintaining corporate and LLC minutes and records; review and preparation of various business related agreements and contracts; and securities issues relating to the issuance of stock and membership interests. Mr. Gumbinger is also involved in workouts and loan restructuring and representation of commercial and residential owners in leasing, financing and disposition of real property.
