David E. Bunim is a graduate of the University of North Carolina and the George Washington University Law School. He is a former Deputy Attorney General in the Business Law section of the California Department of Justice, where his practice centered on real estate, insurance law and corporate securities. Mr. Bunim was an adjunct professor of Insurance Law at Golden Gate University, teaching insurance law and has served on various corporate directorships. Mr. Bunim is a seasoned litigator in the areas of real estate and construction law. He is also an arbitrator for the American Arbitration Association, and serves on the Large Complex Construction Panel, as well as serving as a private mediator throughout the country. Mr. Bunim is actively involved in surety and construction law matters and has experience with all of the AIA design and construction contracts. He regularly counsels clients on the negotiation of design and construction contracts. In addition, he advises business owners with respect to insurance coverage and claims matters and bad faith litigation, and has given presentations at the national meetings of the American Bar Association.

Gary M. Hein has a diverse real estate practice representing owners and developers locally and nationally in the acquisition, construction, leasing, management, financing and disposition of all types of commercial real property, with an emphasis on office buildings, industrial, multi-family, hotels, retail and shopping centers. He also represents corporate clients in a wide range of important business transactions, including sales, services, partnering and licensing agreements, stock and asset purchase agreements, internal contracting policy and governance related matters.

Mr. Hein recently was involved in the negotiation and documentation of a joint venture agreement, limited liability company operating agreement, and development agreement involving the City and Port of Oakland, a local real estate developer and a foreign capital partner regarding a large multi-family, retail and public open space development project located on the Oakland waterfront.

Mr. Hein has considerable experience in negotiating, documenting, restructuring and enforcing commercial leases. He has represented the owner of a Class A 375,000 square foot office building in the East Bay in all of its leasing and related matters, in addition to landlords and tenants in office, retail, mixed use and industrial properties both locally and nationally.

He recently represented the landlord and general partnership owner of a 225,000 square foot manufacturing facility and office complex in Texas in a commercial arbitration dispute, winning a large award for his client against the tenant for breach of the lease, payment of back rent, and declaration of future rent during the remaining lease term.

Mr. Hein graduated from The University of California Berkeley with a bachelor degree in Social Science/Modern Corporations, having served as captain on both Cal’s football and rugby teams. He received his Masters in Jurisprudence from Oxford University in England, where he also won two Varsity Blues on the rugby pitch against Cambridge University.

Robert C. Nicholas maintains a diverse real estate practice representing owners and developers in the acquisition, disposition, leasing, financing, construction and management of all types of commercial real property, with an emphasis on hotels, office buildings, multi-family and mixed-use projects and shopping centers. A substantial part of his practice also involves the negotiation of third-party and “brand” hotel management agreements and hotel franchise agreements.

Mr. Nicholas recently represented Zarsion Holdings Group Co., Ltd., a developer from Beijing, China in forming a joint venture with Signature Development Group to complete the horizontal development of a 1.5 billion dollar urban infill project in Oakland, California, known as “Brooklyn Basin”. This engagement involved the assembly of a due diligence team to perform the legal due diligence on behalf of Zarsion and the negotiation of a joint venture agreement.

He also recently represented Fullwel Management Inc. and Faustus Capital LLC in forming a joint venture with a developer from China, Oceanwide Real Estate Group, to acquire a nearly fully entitled urban infill project known as “Fig Central” in downtown Los Angeles. This engagement involved the negotiation of joint venture documents, the negotiation of a purchase and sale agreement with the seller, the Moinian Group, the assembly of a due diligence team and the supervision of the due diligence.

A few of Mr. Nicholas’ other note worthy engagements include the representation of the seller of the landmark Renaissance Ilikai Hotel in Honolulu, the buyer of the Westin Bonaventure Hotel and Suites in Los Angeles and Rim Hotel Group in the disposition of the company’s portfolio of hotels.

Mr. Nicholas has considerable experience in negotiating, documenting, restructuring and enforcing commercial leases. He represents the owner of 71 Stevenson Place, a Class A office building in San Francisco in all of its leasing and related matters and, in that capacity, recently negotiated and drafted leases for over 250,000 square feet of office space.

He also acts as outside general counsel to FIT Investment Corporation with respect to all of its domestic real estate matters. In that role, he has handled numerous acquisitions and dispositions of hotels, office buildings and warehouse facilities located throughout the United States.

Mr. Nicholas regularly counsels a number of commercial brokerage firms on legal developments, was a guest lecturer in an advanced real estate transactions course at Stanford Law School, enjoys an “A/V” Martindale rating and is a member of the Academy of Hospitality Industry Attorneys, Asian Hotel Owners Association, American Hotel & Lodging Association and the Real Property Section of the American Bar, California State Bar and San Francisco Bar Associations.

Louis N. Haas is a graduate of the University of California at Berkeley and Stanford Law School. While on active duty as an Army lawyer and officer, he served as chief trial attorney representing the government in contract dispute cases before the U.S. Army Board of Contract Appeals, Europe. Mr. Haas also performed trial work and advised clients in all areas of labor relations law as an associate with the firm of Littler, Mendelson & Fastiff before he co-founded Haas & Najarian in 1973. He has tried and supervised government contract disputes in virtually every forum in the country, including contract appeals boards, U.S. Court of Federal Claims, Federal District and Circuit Courts, U.S. Supreme Court and the GAO. Mr. Haas is a member of the State Bar of California and the Federal and American Bar Associations (sections on Public Contract Law and Labor Relations Law). He is a member of the Association of General Contractors Legal Advisory Committee and writes and lectures on construction and government contracts matters. In addition to his work in the government contracts area, Mr. Haas regularly provides business advice to clients in a wide range of industries including real estate, manufacturing, mining, technology and an array of service businesses.
